ARTICLE I—Name and Place
The name of this organization shall be "The Dallas Camera Club". Its location shall be Dallas, TX. The Dallas Camera Club is a voluntary association, organized for education and scientific purposes, not for profit.
ARTICLE II—Object
The object of the Dallas Camera Club shall be the mutual entertainment and education of its members in all forms of amateur photographic art.
ARTICLE III—Membership
Any person who is interested in photography and is willing to make freely available to other members of the Dallas Camera Club the results of their photographic experiences, may become a member of the Dallas Camera Club on application for membership and payment of dues.
Only regular members in good standing shall have the right to vote at Dallas Camera Club meetings.
Delinquency of thirty (30) days or more in payment of dues or any other obligation to the club shall be cause for dropping a member from the roll, when so ordered by a majority vote of the Executive Committee; and the Executive Committee may, by two-thirds vote, expel a member for any cause which they may deem adequate. Any member may resign in writing at any time and so be relieved of liability of dues thereafter to accrue.
A member must reside near the DFW area and be willing to attend at least 4 meetings a year in order to compete in the print or digital images competition.
ARTICLE IV—Dues
Dues shall be paid yearly in advance for regular members, and half for any membership after October 1st. Special rates for students.
Any member may, after the last competition, pay dues in advance for the following year. The fiscal year of the Dallas Camera Club shall begin April 1.
Since the Dallas Camera Club is not organized for profit, the purpose of these dues is to provide funds to cover expenses of operation and such forms of entertainment and education as may be provided. The rates may be raised or lowered by the Executive Committee as the need for funds demands.
ARTICLE V—Meetings
The President shall appoint a Nominating committee to select a slate of officers for the upcoming year. This Nominating Committee shall report to the Dallas Camera Club members on or before the second meeting in January. The election of new officers shall be held on the following meeting at such time and place as the Executive Committee may prescribe.
Regular meetings of the Dallas Camera Club shall be held in Dallas twice each month at such place and hour as may be designated by the Executive Committee, which shall also have the power to change the date of the twice monthly meetings.
Special meetings of the Dallas Camera Club shall be held or called by the Executive Committee or the President at any time, and shall be called by the President upon written request of five (5) members in good standing. Five (5) days notice of any special meeting shall be given in writing to all members.
Informal meetings for the purposes of entertainment or education may be held upon informal call at any time. Informal meetings shall be held in Dallas or elsewhere in its vicinity.
At all meetings of the Executive Committee, a quorum shall consist of not less than five (5) members present and entitled to vote. No quorum shall be required for informal meetings.
ARTICLE VI—Officers and Committees
The officers of the Dallas Camera Club shall be: President, Vice President, Secretary, Treasurer, Editor (Thru the Lens), Projected Images Chair, Print Chair and retiring President.
Officers shall be elected by the membership each year prior to March 15th and shall hold office for one (1) year or until their successors shall be chosen.
Should a vacancy occur in the office of the President, the Vice President shall assume the office of the President and shall appoint an interim Vice President. Other vacancies occurring from any causes during the term for which officers and committees are elected or appointed shall be filled by appointment of the President. All progressions and appointments resulting from vacancies shall be limited to the balance of the Dallas Camera Club year.
Officers and members of all committees shall serve without pay.
It shall be the duty of the President to preside at all meetings of the Dallas Camera Club and the Executive Committee, and to abide by and enforce the By-Laws of the Dallas Camera Club, and he/she shall be empowered to appoint such committees as he/she shall deem necessary.
It shall be the duty of the Vice President in the absence of the President to perform all the duties incumbent on the President. The Vice President shall plan the programs of the Dallas Camera Club meetings.
The Secretary shall keep the records of membership of the Dallas Camera Club, the minutes of its meetings and those of the Executive Committee, and issue all notices and calls for meetings.
The Treasurer shall receive all dues and deposit all money received in a bank or trust company to be designated by the Executive Committee.
ARTICLE VII—Duties of Officers
It shall be the duty of the President to preside at all meetings of the Dallas Camera Club and the Executive Committee, and to abide by and enforce the By-Laws of the Dallas Camera Club, and he/she shall be empowered to appoint such committees as he/she shall deem necessary.
It shall be the duty of the Vice President in the absence of the President to perform all the duties incumbent on the President. The Vice President shall plan the programs of the Dallas Camera Club meetings.
The Secretary shall keep the records of membership of the Dallas Camera Club, the minutes of its meetings and those of the Executive Committee, and issue all notices and calls for meetings.
The Treasurer shall receive all dues and deposit all money received in a bank or trust company to be designated by the Executive Committee; keep a correct record of receipts and disbursements, rendering a full report annually or more frequently if required by the Dallas Camera Club; and turn over all property in his/her possession to his/her successor in office when duly chosen.
The Editor of the Dallas Camera Club Bulletin (Thru the Lens) shall edit, print and mail or E mail the bulletin no less than once a month.
The Executive Committee shall generally administer the affairs and supervise the finances of the Dallas Camera Club.
ARTICLE VIII—Amendments
Amendments or additions to these By-Laws may be made only at regular meetings of the Dallas Camera Club by majority vote of the members present. Amendments must be proposed in writing by any member at any regular meeting. The written copy is to be presented to the Executive Committee. Voting on amendments is to be held at the following regular meeting, on advance notice of such being mailed or e-mailed to all regular members five (5) days prior to voting.
